1. Agreement
These Terms of Service (“Terms”) form a legal agreement between you (“you,” “your,” or “Member”) and The Power Pause Project, LLC, an Arizona limited liability company doing business as “Power Pause” (“Power Pause,” “we, ” or “us”). By creating an account, starting a trial, or otherwise using the service you accept these Terms.
2. Eligibility
You must be at least 18 years old and capable of forming a binding contract. If you are accessing the service on behalf of an organization, you represent that you have the authority to bind that organization to these Terms.
The service is currently offered worldwide. You are responsible for ensuring your use complies with the laws of your jurisdiction.
3. Your account
You agree to provide accurate information when you sign up and to keep it current. You are responsible for safeguarding your password and for all activity that occurs under your account. Notify us immediately at hello@powerpause.health if you suspect unauthorized access. You may not share your account, sell access, or use it in a way that allows multiple people to participate in the program under one membership.
4. Subscriptions & billing
Paid plans are sold either as a one-time payment (full price, charged today) or as a three-payment installment plan (one charge today plus two monthly charges of the same amount). Installment plans are processed as Stripe subscriptions and automatically cancel after the third successful payment.
Automatic renewal disclosure. For installment plans only, you authorize The Power Pause Project, LLC (acting through Stripe) to charge your payment method on the same day each month until three payments have been made. We will send you an email reminder before each charge. You may cancel the remaining installments at any time by emailing hello@powerpause.health (subject to § 6). Single-payment plans do not renew.
Prices are in US dollars and exclude any applicable sales tax, which will be added at checkout where required. We may change prices for new purchases with notice; price changes do not affect plans you have already purchased.
5. Free trial
Sign-up grants a 7-day free trial of trial-tier content. No payment method is required to start the trial, and the trial does not automatically convert into a paid subscription. After the trial ends you may continue at the trial level (limited access, as we determine from time to time) or upgrade to a paid plan.
We may offer different trial terms to specific users in the future (e.g., extended trials for promotional partners). The specific terms displayed at sign-up control.
6. Cancellation & refunds
You may cancel at any time. For details on refund eligibility and installment cancellations, see the Refund Policy. Briefly: a 14-day money-back guarantee applies to paid plans (Core, VIP, Elite), and you can cancel future installment payments any time by emailing hello@powerpause.health.
7. License to use the service
Subject to your compliance with these Terms and timely payment of fees, we grant you a limited, revocable, non-exclusive, non-transferable, non-sublicensable license to access and use the service for your own personal, non-commercial use during the term of your subscription.
For Core and VIP tiers, access lasts for 12 months from the date of purchase. For Elite, access is provided as a lifetime license contingent on continued operation of the platform; if we discontinue the service we will provide reasonable notice and, at our option, refund or transition Elite members to a comparable alternative.
8. Intellectual property
All content available through the service — videos, PDFs, recipes, meal plans, photographs, text, audio, software, design elements, trademarks, and the “Power Pause” and related marks — is owned by The Power Pause Project, LLC or its licensors and is protected by US and international intellectual-property laws. Nothing in these Terms transfers ownership to you.
You may not (i) reproduce, distribute, modify, publicly display, publicly perform, or create derivative works of any content; (ii) screen-record, screen-capture, or otherwise reproduce video streams; (iii) remove or alter any copyright, trademark, or watermark notices; or (iv) use any content to train an AI/ML model or build a competing service.
9. Acceptable use
You agree not to:
- Use the service to violate any law or third-party right;
- Share login credentials, host group viewings, or otherwise allow non-members to access paid content;
- Reverse-engineer, scrape, or circumvent any technical protection measures (including signed video URLs);
- Upload or transmit malware, viruses, or any content that harasses, defames, or harms others;
- Interfere with the service, attempt to gain unauthorized access, or test for vulnerabilities without our written permission;
- Use the service to send spam or unsolicited communications.
10. DMCA / copyright complaints
If you believe content on the service infringes your copyright, send a notice that satisfies 17 U.S.C. § 512(c)(3) to hello@powerpause.health with subject “DMCA Notice.” Include: a description of the work, the URL of the alleged infringement, your contact information, a statement of good-faith belief, a statement under penalty of perjury that the information is accurate, and your physical or electronic signature. Repeat infringers may have their accounts terminated.
11. Health & fitness disclaimer
The service provides general health, fitness, and nutrition information for educational purposes only. It is not medical advice and is not intended to diagnose, treat, cure, or prevent any disease. Consult a qualified healthcare professional before starting any exercise or nutrition program, particularly if you are pregnant, nursing, have any pre-existing medical condition, are recovering from an injury, or have any concerns about your ability to exercise safely.
By using the service you assume all risks associated with physical exercise. See the Liability Waiver & Assumption of Risk for additional terms.
12. Disclaimer of warranties
The service is provided “as is” and “as available.” To the maximum extent permitted by law, The Power Pause Project, LLC disclaims all warranties, express or implied, including the implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement. We do not warrant that the service will be uninterrupted, error-free, secure, or free of viruses, or that results obtained from using the service will meet your expectations.
13. Limitation of liability
To the maximum extent permitted by law, in no event shall The Power Pause Project, LLC, its officers, directors, employees, agents, founders, instructors, or suppliers be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages — including without limitation lost profits, lost revenue, lost data, business interruption, personal injury, or emotional distress — arising out of or relating to these Terms or the service, whether based in contract, tort, strict liability, or any other legal theory, and whether or not we have been advised of the possibility of such damages.
Our aggregate liability for any claim arising out of or relating to these Terms or the service shall not exceed the greater of (a) the total amount you paid us in the 12 months before the event giving rise to the claim, or (b) US$100.
Some jurisdictions do not allow exclusion or limitation of certain damages; in those jurisdictions our liability is limited to the smallest extent permitted by law.
14. Indemnification
You agree to defend, indemnify, and hold harmless The Power Pause Project, LLC and its officers, directors, employees, agents, and suppliers from any claim, demand, loss, liability, damage, or expense (including reasonable attorneys' fees) arising out of (i) your breach of these Terms, (ii) your misuse of the service, (iii) your violation of any law or third-party right, or (iv) any claim that your conduct caused damage to a third party. We reserve the right to assume the exclusive defense and control of any matter for which you have agreed to indemnify us, and you agree to cooperate with our defense.
15. Termination
You may close your account at any time by emailing hello@powerpause.health. We may suspend or terminate your account at any time, with or without notice, for any breach of these Terms, suspected fraud, or where required by law. Upon termination, your license to use the service ends; sections that by their nature should survive (Privacy, IP, Disclaimers, Limitation of Liability, Indemnification, Dispute Resolution) will survive.
16. Dispute resolution & arbitration
Please read this section carefully — it affects your legal rights.
Informal resolution first. Before filing a claim, you agree to try to resolve the dispute by sending a written notice to hello@powerpause.health describing the nature and basis of the claim and the specific relief sought. We'll do the same to you. Both parties agree to negotiate in good faith for at least 60 days.
Binding arbitration.If we don't resolve a dispute through informal negotiation, you and The Power Pause Project, LLC agree that any claim arising out of or relating to these Terms or the service will be resolved by binding individual arbitration administered by JAMS under its Streamlined Arbitration Rules and Procedures (or, for claims under US$25,000, JAMS Minimum Standards for Consumer-Initiated Arbitration). Arbitration will be conducted in Maricopa County, Arizonaor, at your election, by video or telephone. The arbitrator's award may be entered in any court of competent jurisdiction.
Class-action waiver. You and we agree to bring any dispute in arbitration on an individual basis only, not as a class, representative, or collective action. The arbitrator may not consolidate more than one person's claims and may not preside over any form of representative or class proceeding.
Small-claims carve-out. Either party may bring an individual claim in small-claims court instead of arbitration, so long as the action remains in that court.
30-day opt-out. You may opt out of this arbitration agreement by sending us a clear written notice to hello@powerpause.health within 30 days of first accepting these Terms. Opt-out does not affect any other provision.
17. Governing law
These Terms are governed by the laws of the State of Arizona, USA, without regard to its conflict-of-laws principles. For any claim not subject to arbitration, you and we consent to the exclusive jurisdiction of the state and federal courts located in Maricopa County, Arizona.
18. Changes to these Terms
We may update these Terms from time to time. For material changes, we will notify active members by email and update the “Last updated” date at least 14 days before the change takes effect. Continued use of the service after a change indicates acceptance. If you do not agree, you may close your account before the change takes effect.
19. Miscellaneous
Entire agreement. These Terms, together with the Privacy Policy, Refund Policy, and Waiver, constitute the entire agreement between you and us regarding the service.
Severability. If any provision is held unenforceable, the remaining provisions remain in effect.
No waiver. Our failure to enforce a provision is not a waiver of our right to do so later.
Assignment. You may not assign these Terms without our written consent; we may assign them in connection with a merger or sale of assets.
Force majeure. Neither party is liable for delays or failures caused by events beyond reasonable control (natural disasters, war, pandemic, government action, infrastructure outages).
